s. 1 — Definitions

The following definitions apply in this Act.

s. 1 — council

“Council” means the Council established under section 2. (Conseil)

s. 1 — executive-director

“Executive Director” means a person engaged as an Executive Director under paragraph 12(1)(a).(directrice générale)

s. 1 — minister

“Minister” means the member of the Executive Council designated by the Lieutenant-Governor in Council to administer this Act.(ministre)

s. 2 — Establishment of Council

A body for study and consultation is established under the name of the “New Brunswick Women’s Council” in English and “Conseil des femmes du Nouveau-Brunswick” in French.

s. 3 — Objectives of Council

The objectives of the Council are as follows:

s. 3(a) — Objectives of Council

(a) to be an independent body that provides advice to the Minister on matters of importance to women and their substantive equality;

s. 3(b) — Objectives of Council

(b) to bring to the attention of government and the public issues of interest and concern to women and their substantive equality;

s. 3(c) — Objectives of Council

(c) to include and engage women of diverse identities, experiences and communities, women’s groups and society in general;

s. 3(d) — Objectives of Council

(d) to be strategic and provide advice on emerging and future issues; and

s. 3(e) — Objectives of Council

(e) to represent New Brunswick women.

s. 4 — Duties and powers of Council
s. 4(1) — Duties and powers of Council

The Council shall do the following:

s. 4(1)(a) — Duties and powers of Council

(a) advise the Minister on those areas or matters of importance, interest or concern to women and their substantive equality that the Minister refers to the Council for its consideration or that the Council considers appropriate;

s. 4(1)(b) — Duties and powers of Council

(b) conduct research on those areas or matters of importance, interest or concern to women and their substantive equality that the Council considers appropriate or that the Minister refers to the Council; and

s. 4(1)(c) — Duties and powers of Council

(c) bring before the government and the public those areas or matters of importance, interest or concern to women and their substantive equality.

s. 4(2) — Duties and powers of Council

In carrying out its functions under subsection (1), the Council may do any of the following:

s. 4(2)(a) — Duties and powers of Council

(a) conduct or commission research on matters pertaining to its work, dependent on available resources; and

s. 4(2)(b) — Duties and powers of Council

(b) publish those reports, studies and recommendations that the Council considers necessary.

s. 5 — Appointment of members
s. 5(1) — Appointment of members

Subject to subsections (2) and (3), the Council shall consist of the following members:

s. 5(1)(a) — Appointment of members

(a) the Executive Director who is, by virtue of that position, a member of the Council;

s. 5(1)(b) — Appointment of members

(b) the Assistant Deputy Minister of the Women’s Equality Branch of the Executive Council Office who is, by virtue of that position, a member of the Council; and

s. 5(1)(c) — Appointment of members

(c) not more than 15 other members appointed by the Lieutenant-Governor in Council.

s. 5(2) — Appointment of members

The Council shall consist of both organizations represented by an individual and individuals who support the objectives of the Council.

s. 5(3) — Appointment of members

The membership of the Council as a whole shall reflect the diversity, geography and official languages of New Brunswick.

s. 5(4) — Appointment of members

The members of the Council shall appoint from among themselves two co-chairs.

s. 5(5) — Appointment of members

The members of the Council, including the co-chairs, shall be appointed for a term of not more than three years.

s. 6 — Resignation, reappointment or replacement of members

Despite the expiry of their term, the members of the Council shall remain in office until they resign or are reappointed or replaced.

s. 7 — Vacancies
s. 7(1) — Vacancies

If a vacancy occurs during the term of office of a member, that position may be filled by an appointment made by the Lieutenant-Governor in Council, in accordance with subsections 5(2) and (3), for the remainder of the term of that member.

s. 7(2) — Vacancies

If the member whose vacancy is filled under subsection (1) is a co-chair, the Council shall appoint from among themselves another co-chair.

s. 7(3) — Vacancies

A vacancy on the Council does not impair the capacity of the Council to act.

s. 8 — Remuneration of members

The Lieutenant-Governor in Council may determine the remuneration to be paid to the co-chairs and the other members of the Council and may fix the rate for reimbursement of expenses incurred by them while acting on behalf of the Council.

s. 9 — Duties of co-chairs

The co-chairs shall direct the activities of the Council and shall coordinate its work through its Executive Director.

s. 10(1) — Budget

On or before December 15 of each year, the Council shall submit to the Minister a proposed budget containing the estimate of the amount of money required for the operation of the Council during the next fiscal year.

s. 10(2) — Budget

Each fiscal year the Minister of Finance and Treasury Board shall pay to the Council the amounts of money that are appropriated by the Legislature for financing the operation of the Council.

s. 10(3) — Budget

The Council shall not accumulate a deficit.

s. 11 — Audit

The financial statements of the Council shall be audited at least once a year by an auditor appointed by the Council, and may be audited by the Auditor General at his or her initiative or on the request of the Lieutenant-Governor in Council.

s. 12 — Employees
s. 12(1) — Employees

Subject to the funds appropriated under section 10, the Council may do the following:

s. 12(1)(a) — Employees

(a) engage an Executive Director in accordance with the by-laws of the Council; and

s. 12(1)(b) — Employees

(b) employ or engage other persons in accordance with the by-laws of the Council.

s. 12(2) — Employees

Subject to any applicable collective agreement and despite the Financial Administration Act, the terms and conditions of employment for employees of the Council shall be established by the by-laws of the Council.

s. 12(3) — Employees

The pension plan converted to a shared risk plan in accordance with An Act Respecting Public Service Pensions applies to the Executive Director and all other employees of the Council.

s. 13 — Duties of Executive Director

The Executive Director is responsible to the Council for the following:

s. 13(1)(a) — Duties of Executive Director

(a) carrying out the directives of the Council within the guidelines established by the Council; and

s. 13(1)(b) — Duties of Executive Director

(b) managing the day-to-day operations of the Council, including the management and supervision of the other employees of the Council.

s. 13(2) — Duties of Executive Director

The Regulations Act does not apply to the guidelines referred to in paragraph (1)(a).

s. 14 — Meetings
s. 14(1) — Meetings

The Council may hold its meetings at any place in New Brunswick.

s. 14(2) — Meetings

A majority of the members of the Council, including one of the co-chairs, constitutes a quorum.

s. 14(3) — Meetings

The Council shall meet at least four times in each fiscal year and two of those meetings shall be held in person or as determined by the by-laws of the Council.

s. 15 — By-laws

Subject to the approval of the Lieutenant-Governor in Council, the Council may make by-laws for its internal management.

s. 15(2) — By-laws

The Regulations Act does not apply to the by-laws of the Council.
